General Terms & Conditions

1. Scope & Applicability

These General Terms and Conditions (Algemene Voorwaarden) apply to all proposals, offers, statements of work (SOW), and B2B IT engineering services rendered by AJ Digital Labs to corporate and enterprise clients. Variations to these terms are legally binding only if explicitly agreed upon in writing.

2. Provision of Services & Best-Effort Obligation

AJ Digital Labs performs all software integration, middleware design, cloud architecture, and DevOps operations on the basis of a best-effort obligation (inspanningsverplichting), executing services with senior professional diligence, industry-standard design patterns, and appropriate security controls. Unless expressly defined in a signed Statement of Work, services do not constitute an obligation of guaranteed result (resultaatsverplichting).

3. Invoicing & Payment Terms

All consulting fees, hourly rates, and deliverables are quoted in Euros (EUR) and are exclusive of Dutch Value Added Tax (21% BTW) and third-party cloud infrastructure costs (e.g., Azure or AWS tenancy charges). Standard payment terms are 30 days from the date of the invoice, unless alternative B2B milestone terms are negotiated.

4. Intellectual Property Rights

Upon complete receipt of contractual payment, the client receives an unrestricted, non-exclusive license or full ownership (as stipulated in the specific SOW) to custom integration workflows, configurations, and application source code specifically authored for the client. AJ Digital Labs retains full ownership of its pre-existing proprietary tools, design templates, reference libraries, and general technical know-how.

5. Limitation of Liability

To the maximum extent permitted by Dutch law, the aggregate liability of AJ Digital Labs for any direct damages arising from or related to an engagement is capped at the total fees invoiced and paid under the relevant contract in the preceding 3 months. AJ Digital Labs is not liable for indirect, consequential, or punitive damages, including loss of profits, system downtime, or third-party cloud outages.

6. Applicable Law & Jurisdiction

All legal relationships between AJ Digital Labs and its clients are governed exclusively by the laws of the Netherlands. Any disputes shall be submitted exclusively to the competent district court in Amsterdam (Rechtbank Amsterdam).
